1. Acceptance of Terms

By accessing or using The Private Circle website (the "Site") and services provided by Young Legacy Veterans LLC ("we," "us," "our," or "Company"), you ("Member," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.

2. Description of Services

The Private Circle is an invitation-only network that provides qualified investors with access to off-market Georgia land acquisition opportunities. Our services include:

• Access to curated off-market land opportunities
• Due diligence support and property analysis
• Market intelligence and investment insights
• Connection to vetted sellers and acquisition opportunities
• Member-only educational resources

3. Investment Disclaimers

3.1 No Guarantees

Past performance is not indicative of future results. All real estate investments carry risk, including but not limited to:

• Loss of capital
• Market fluctuations and economic downturns
• Property devaluation
• Illiquidity and inability to sell
• Title defects or legal disputes
• Environmental issues or zoning restrictions
• Changes in tax laws or regulations

3.2 No Broker-Dealer Relationship

Young Legacy Veterans LLC is not a registered broker-dealer, investment advisor, or real estate broker. We do not facilitate transactions, hold funds, or act as an intermediary. Members negotiate directly with property sellers and are responsible for their own legal representation and transaction execution.

3.3 Accredited/Qualified Investor Status

Certain investment opportunities may require accredited investor status under federal securities laws or qualified investor status under Georgia real estate regulations. Members are responsible for determining their own eligibility and compliance with applicable laws.

4. Membership Eligibility

4.1 Application Process

Membership is invitation-only and subject to approval. By applying, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into binding contracts
• You have sufficient capital to invest in real estate opportunities
• You understand the risks associated with real estate investment
• All information provided in your application is true and accurate

4.2 Membership Requirements

Members must:

• Maintain confidentiality of proprietary information
• Conduct themselves professionally and ethically
• Respect the exclusive nature of the network
• Comply with all applicable laws and regulations
• Not compete directly with the Company for off-market opportunities

5. Fees and Payment

Membership fees, if any, will be clearly disclosed prior to acceptance. All fees are non-refundable except as required by law. We reserve the right to modify our fee structure with reasonable notice to existing members.

6. Intellectual Property

All content on this Site, including text, graphics, logos, data compilations, and proprietary analysis ("Content"), is owned by Young Legacy Veterans LLC or its licensors and protected by copyright, trademark, and other intellectual property laws.

6.1 Limited License

Members are granted a limited, non-exclusive, non-transferable license to access and use the Site and Content for personal investment purposes only. Members may not:

• Copy, modify, distribute, or reproduce Content without written permission
• Use Content for commercial purposes
• Share login credentials or member-only information with non-members
• Scrape, data mine, or use automated tools to access the Site

7. Confidentiality and Non-Disclosure

Members acknowledge that they may receive confidential and proprietary information, including:

• Off-market property addresses and details
• Seller contact information
• Pricing strategies and market analysis
• Other members' identities and investment strategies

Members agree to:

• Maintain strict confidentiality of all proprietary information
• Not disclose information to third parties without authorization
• Use information solely for personal investment evaluation
• Return or destroy confidential materials upon request

8. Limitation of Liability

The Company shall not be liable for:

• Investment losses or missed opportunities
• Inaccuracies in property information provided by third parties
• Actions or omissions of property sellers
• Market changes or economic conditions
• Title defects, liens, or encumbrances
• Regulatory changes affecting investments
• Consequential, indirect, incidental, or punitive damages

9. Indemnification

Members agree to indemnify, defend, and hold harmless Young Legacy Veterans LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Site or services
• Your investment decisions
• Your breach of these Terms
• Your violation of any law or third-party rights

10. User Conduct

Members agree not to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights
• Transmit viruses or malicious code
• Engage in fraudulent or deceptive practices
• Harass or harm other members
• Attempt to circumvent security measures
• Use the Site for unauthorized commercial purposes

11. Termination

11.1 By Company

We reserve the right to suspend or terminate membership at any time, with or without cause, including for:

• Breach of these Terms
• Providing false information
• Engaging in prohibited conduct
• Non-payment of fees
• Any reason we deem appropriate in our sole discretion

11.2 By Member

Members may terminate their membership by providing written notice to investor@ylvprivatecircle.co. Termination does not relieve obligations for confidentiality, outstanding fees, or indemnification.

12. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Merchantability or fitness for a particular purpose
• Accuracy, completeness, or reliability of information
• Uninterrupted or error-free access
• Security or freedom from viruses

13. Third-Party Links and Services

The Site may contain links to third-party websites or services. We do not endorse, control, or assume responsibility for any third-party sites or services. Your use of third-party sites is at your own risk and subject to their terms and policies.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to members via email or Site notice. Continued use of the Site after changes constitutes acceptance of modified Terms.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law principles.

15.2 Arbitration

Any dispute arising from or relating to these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in Gwinnett County, Georgia. Each party shall bear its own costs and attorneys' fees.

15.3 Class Action Waiver

Members agree to resolve disputes on an individual basis only and waive the right to participate in class actions or representative proceedings.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding use of the Site and services, superseding any prior agreements.
